text-align: justify;\">From time to time, foreign foundations show interest in carrying out activities in\u00a0Argentina, particularly registering in the\u00a0Autonomous City of Buenos Aires (CABA).<\/p>\n<p style=\"font-weight: 400; text-align: justify;\">Whether for social, educational, scientific, or cultural projects, these organizations must comply with the applicable regulatory framework before the\u00a0Public Registry of CABA, which is under the authority of the\u00a0General Inspection of Justice (IGJ), an agency reporting to the Ministry of Justice of the Nation.<\/p>\n<p style=\"font-weight: 400; text-align: justify;\">This article provides a practical overview of how a foreign foundation may obtain authorization to operate in Argentina, the available registration alternatives, and the tax implications arising from each option.<\/p>\n<h2 style=\"font-weight: 400; text-align: justify;\"><strong>Registration alternatives before the IGJ<\/strong><\/h2>\n<p style=\"font-weight: 400; text-align: justify;\">Pursuant to\u00a0IGJ General Resolution No. 15\/2024, a foreign foundation wishing to operate in Argentina has two alternatives:<\/p>\n<ol style=\"font-weight: 400; text-align: justify;\">\n<li>Establishing a representation or a permanent establishment\u00a0of the foreign foundation in Argentina (Article 289 of the Resolution).<\/li>\n<ul>\n<li>The same legal entity operates directly in Argentina.<\/li>\n<li>No new entity is created; instead, it is the foreign foundation itself acting locally.<\/li>\n<\/ul>\n<li>Forming an Argentine foundation as the founding entity\u00a0(Article 290 of the Resolution).<\/li>\n<ul>\n<li>In this case, the foreign foundation incorporates a new\u00a0local foundation, which acquires its own legal personality, assets, and operations.<\/li>\n<li>This domestic foundation is legally independent from the foreign foundation.<\/li>\n<\/ul>\n<\/ol>\n<p style=\"font-weight: 400; text-align: justify;\">The choice between these two alternatives is critical, as it will determine whether the foundation may access\u00a0tax exemptions\u00a0under Argentine law.<\/p>\n<h2 style=\"font-weight: 400; text-align: justify;\"><strong>Tax Treatment of Foundations in Argentina<\/strong><\/h2>\n<p style=\"font-weight: 400; text-align: justify;\">Foundations incorporated under Argentine law are, as a general rule, treated as\u00a0corporations for tax purposes, unless they apply for and are granted\u00a0tax-exempt status.<\/p>\n<ol style=\"text-align: justify;\">\n<li style=\"font-weight: 400;\"><strong> Income Tax<\/strong><\/li>\n<\/ol>\n<ul style=\"font-weight: 400; text-align: justify;\">\n<li>The general corporate income tax rate is\u00a0up to 35% of net income.<\/li>\n<li>An Argentine foundation may apply for exemption from income tax under Article 26, subsection f), of the Income Tax Law No. 20,628, provided that:<\/li>\n<ul>\n<li>Its purposes are related to social assistance, public health, charity, education, science, art, culture, or similar public-benefit activities.<\/li>\n<li>Its income and assets are used exclusively for its statutory purposes and are not distributed, directly or indirectly, among members of its governing bodies.<\/li>\n<li>Its resources are not derived from public shows, gambling, horse racing, or financial activities (except for financial investments intended to preserve the foundation\u2019s assets).<\/li>\n<li>It does not engage in commercial or industrial activities unrelated to its statutory purposes, or, if it does, such activities do not exceed the percentage of total income allowed by regulation.<\/li>\n<li>Its directors are not compensated for governance functions, although they may receive reasonable compensation for other roles, subject to statutory limits.<\/li>\n<\/ul>\n<\/ul>\n<p style=\"font-weight: 400; text-align: justify;\">A foreign foundation operating only as a permanent establishment in Argentina will not qualify for these exemptions, unless it is formally declared of\u00a0national interest.<\/p>\n<ol start=\"2\" style=\"text-align: justify;\">\n<li style=\"font-weight: 400;\"><strong> Value Added Tax (VAT)<\/strong><\/li>\n<\/ol>\n<ul style=\"font-weight: 400; text-align: justify;\">\n<li>The standard VAT rate is\u00a021%.<\/li>\n<li>Services rendered by Argentine foundations are exempt under Article 7 of the VAT Law No. 23,349.<\/li>\n<\/ul>\n<ol start=\"3\" style=\"text-align: justify;\">\n<li style=\"font-weight: 400;\"><strong> Tax on Bank Debits and Credits<\/strong><\/li>\n<\/ol>\n<ul style=\"font-weight: 400; text-align: justify;\">\n<li>The general rate is\u00a00.6%.<\/li>\n<li>For entities exempt from both VAT and income tax, the reduced rate applies:\u00a02.5\u2030 on credits\u00a0and\u00a05\u2030 on debits.<\/li>\n<\/ul>\n<ol start=\"4\" style=\"text-align: justify;\">\n<li style=\"font-weight: 400;\"><strong> Gross Receipts Tax (CABA and Province of Buenos Aires)<\/strong><\/li>\n<\/ol>\n<ul style=\"font-weight: 400; text-align: justify;\">\n<li>In CABA and the Province of Buenos Aires, foundations are exempt if they are also exempt from income tax.<\/li>\n<\/ul>\n<h2 style=\"font-weight: 400; text-align: justify;\"><strong>Why it is advisable to establish a domestic foundation in Argentina<\/strong><\/h2>\n<p style=\"font-weight: 400; text-align: justify;\">The law is clear: to access\u00a0tax exemptions in Argentina, a foreign foundation must incorporate a\u00a0domestic foundation.<\/p>\n<p style=\"font-weight: 400; text-align: justify;\">This structure provides several advantages:<\/p>\n<ul style=\"font-weight: 400; text-align: justify;\">\n<li>Eligibility for income tax and VAT exemptions.<\/li>\n<li>Access to\u00a0tax-deductible donations\u00a0from Argentine residents and companies.<\/li>\n<li>Exemptions from import duties for donated goods from abroad.<\/li>\n<li>A stronger institutional presence in Argentina through a recognized legal entity.<\/li>\n<\/ul>\n<h2 style=\"font-weight: 400; text-align: justify;\"><strong>Tax benefits for donors<\/strong><\/h2>\n<p style=\"font-weight: 400; text-align: justify;\">Domestic donors (Argentine Residents and Companies)<\/p>\n<ul style=\"font-weight: 400; text-align: justify;\">\n<li>May deduct from taxable income up to\u00a05% of net annual income\u00a0for donations made to Argentine foundations whose main purposes involve assistance, health, education, science, or culture.<\/li>\n<li>To qualify, the foundation must be registered as an authorized donee before the Federal Tax Authority (ARCA).<\/li>\n<\/ul>\n<p style=\"font-weight: 400;
